JOB DESCRIPTION
Strategic Planning and Operational Effectiveness.
Define, develop and manage the execution of the Commercial Legal Department strategy and ensure that it is aligned to MTN’s mission and vision.
Consider future consequences of actions on the viability of the business, especially in terms of the current environment and how this will impact MTN as a business both now and in the future.
Provide a broad framework to ensure resources are obtained, used, and coordinated in a way that allows the company to achieve its mission.
Provide legal advice and guidance on legislation that will impact on MTNC and its business.
Provide Legal related input into the development of operational plans and strategies of other business units.
Corporate governance
Ensure the effectiveness of:
company secretariat services to the company, the Board, and its committees
corporate governance compliance, including compliance with all relevant statutory and regulatory matters, such as the Companies Act, OHADA, COBAC are essential requirements.
Legal services
Provide support on the resolution of litigations matters, with a particular involvement for material litigation files
Approve reports and submissions to the board on litigations matters.
Develop and maintain fruitful relationships with External Counsels
Oversee Contract Management including review and oversight of the company’s contractual obligations.
Manage budgets
Forecast, plan, develop and review OPEX and CAPEX budgets within agreed parameters.
Manage and optimize the budget, ensuring all expenditure is in line with the agreed budgets
Sign-off / make decisions regarding operational changes
Reporting
Reporting in accordance with the measurement metrics set by the organisation
Report on an ad hoc basis on specific management requirements as and when necessary
RESPONSIBILITIES
Staff Leadership and Management
Define the divisional KPAs and KPIs that will be cascaded down to each area, conducting effective performance management accordingly and putting solutions in place to address any gaps identified.
Offer strategic advice and guidance to the team
Coach and mentor direct reports to ensure staff motivation is high to achieve high performance areas.
Ensure skill transfer for staff development, motivation, and business continuity.
Provide advisory services on governance and best practices.
QUALIFICATIONS
Education / Business Degree
4 years tertiary qualification in Law/ LLB (Commercial / Business)
Possession of an MBA/ Masters will be advantageous
Fluent in English and French
Work Experience
Minimum 8 years’ senior executive/internal counsel experience in commercial legal of a reputable and structured business environment, preferably a multinational corporation.
Knowledge of and working experience in Corporate Governance.
Work experience across diverse cultures and geographies, with work experience in Cameroon as an added advantage.
Telecoms industry experience is a plus.
